1. Acceptance of Terms
These Terms & Conditions govern your use of Follyo (“Service”), provided by EDNA LABS LLC, a Minnesota limited liability company (“Company”, “we”, “us”, or “our”). Your use of the Service is also subject to our Privacy Policy, which is incorporated by reference.
2. Service Description
Follyo is a software‑as‑a‑service (SaaS) creator CRM and deal management platform for creators and small teams. Core features include deal and contact management, proposals and deliverables, analytics and reporting, file uploads and storage, and optional connections to third‑party services (e.g., email and social profiles). Access to certain features may require a paid subscription.
3. Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction) to create an account and use the Service.
4. Account Registration & Security
- You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account.
- You agree to provide accurate, current, and complete information and to keep it updated.
- We may suspend or terminate your account if we suspect any breach of these Terms or misuse of the Service.
5. Subscriptions, Billing & Taxes
- Some features require a paid subscription on a recurring basis (e.g., monthly or annually). Pricing and plan details will be presented at checkout.
- Unless otherwise stated, fees are non‑refundable except where required by law.
- You authorize us (and our payment processors) to charge all applicable fees, taxes, and charges to your selected payment method.
- We may change prices or plan features with prior notice; changes will apply to the next billing cycle.
6. Cancellations & Refunds
- You can cancel at any time, and your access will continue until the end of the current billing period.
- We do not offer pro‑rated refunds for partial periods unless required by applicable law.
- We may offer free trials or promotional credits; specific terms will be displayed where offered.
7. User Content & Permissions
You retain ownership of content you upload to the Service (e.g., contacts, deals, proposals, files). You grant Follyo a worldwide, non‑exclusive, royalty‑free license to host, store, process, transmit, display, and otherwise use that content solely to operate and improve the Service and as otherwise permitted by you.
You are responsible for your content, including obtaining any necessary permissions and ensuring it does not infringe the rights of others or violate law.

8. Confidentiality
We will treat your non‑public business data as confidential and use it only to provide the Service, except where disclosure is required by law or with your consent.
9. Acceptable Use
- No unlawful, infringing, defamatory, or harmful content.
- No reverse engineering, scraping, or bypassing access controls.
- No interference with the Service’s operation or security.
- No use of the Service to send spam or unsolicited communications.
10. Integrations & Third-Party Services
You may connect third-party accounts (such as Google/Gmail, YouTube, Microsoft Outlook, Meta, or TikTok).
By connecting an integration, you authorize Follyo to access and process information from that service
as necessary to provide the features you request.
Google API Services. Follyo’s use and transfer of information received from Google APIs will adhere
to the Google API Services User Data Policy, including the Limited Use requirements. We use Google user data only to
provide and improve user-facing features that you enable (for example, displaying your inbox, linking threads to deals,
and sending messages you author). We do not use Google user data for advertising, we do not sell it, and we do not share
it with third parties for their independent marketing or advertising purposes.
Third-party services are governed by their own terms and privacy policies. Follyo is not responsible for third-party
services, their availability, or their practices.
We do not allow humans to read your connected email content except as necessary for security, debugging, or customer support with your consent (for example, if you share content with us in a support request).
11. Intellectual Property
The Service, including its software, design, and trademarks, is owned by Follyo or its licensors and protected by law. Except for rights expressly granted herein, no licenses are granted to you.
12. Feedback
If you provide feedback or suggestions, you grant us a perpetual, irrevocable, royalty‑free license to use them without restriction or compensation.
13. Termination
We may suspend or terminate your access immediately if you violate these Terms, create risk to the Service, or for non‑payment. Upon termination, your license to use the Service ends.
14. Disclaimers & Limitation of Liability
The Service is provided “as is” and “as available” without warranties of any kind. To the fullest extent permitted by law, Follyo and its affiliates will not be liable for any indirect, incidental, special, consequential, or exemplary damages, or for loss of profits, revenue, data, or goodwill.
15. Indemnification
You agree to defend, indemnify, and hold harmless Follyo and its affiliates from and against claims, liabilities, damages, losses, and expenses arising out of your content or your use of the Service in violation of these Terms or applicable law.
16. Changes to the Service & Terms
We may modify or discontinue features at any time. We may update these Terms; continued use after changes take effect constitutes your acceptance.
17. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of Minnesota, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the state or federal courts located in Minnesota.
